Distance Sales Agreement

Parties

The seller details appear in the "Seller and company details" section below. Buyer details (name or legal name, email, phone, billing address and country) are collected during the order and recorded in the accepted contract.

Subject

This agreement covers the sale, delivery, use, withdrawal and refund terms of the XLMind Studio digital license ordered by the buyer through xlmindstudio.com.

Order

The order summary is shown and accepted before payment. It includes the order number, contract version and date, plan, active device limit, base price (USD), discount, tax, charged currency, amount to be charged, and the exchange rate with its source and time.

Use: without a time limit under the license terms. Updates and support: 1 year. Trial: 7 days.

The buyer accepts the final amount and currency shown on the payment screen. The accepted amount cannot be changed unilaterally after the order.

Payment

Payment is processed through iyzico. The full card number and security code are not stored by the seller.

For payments charged in TRY from Türkiye, the USD base price is converted to TRY at the rate shown to the user when payment starts. The rate and converted amount are fixed to the order record. For payments outside Türkiye, USD may be charged where the infrastructure supports it.

If the amount or currency returned by the payment provider does not match the order record, the license is not created automatically.

Digital delivery

The license key is delivered electronically after successful payment by email and, where applicable, through the user account. There is no physical delivery. An invoice may be issued electronically.

License

The license does not transfer ownership of the software. A Single License may be used on 1 active device and a 5 License plan on up to 5 active devices. The license may not be resold or distributed to third parties.

Trial

A 7-day free trial is offered before purchase.

Withdrawal

Consumers generally have a 14-day withdrawal right. Exceptions for immediately performed electronic services and immediately delivered intangible digital goods are reserved.

If the buyer separately requests immediate delivery of the digital license and is clearly informed of the exception, the withdrawal right may not be exercised after performance begins, to the extent permitted by law.

Defective performance, an undelivered license, duplicate charges and mandatory consumer rights are reserved.

Updates and support

One year of updates and standard support is included from the purchase date. After that, the user may continue using the last eligible version. New updates or support may require renewal.

Personal data

Personal data is processed under the Personal Data Protection Notice and Privacy Policy. Excel files, cell contents and worksheet names are not sent to payment or licensing servers.

Force majeure

In natural disaster, war, epidemic, public decision, general internet or power outage, payment infrastructure failure and events beyond reasonable control, the affected obligation may be postponed for the duration of the event.

Disputes

Consumers retain rights before consumer arbitration committees and courts. For non-consumer merchants and legal entities, the Istanbul Anatolian Courts and Enforcement Offices have jurisdiction.

Entry into force

The pre-information and agreement enter into force when read and accepted electronically before payment. The accepted version and record are provided to the user on a durable medium.
