Terms of Sale

Parties

SELLER: the company whose legal name, MERSIS number, registered address and email address appear in the "Seller" section of this document.

BUYER: the person or organisation whose details appear in the "Buyer and Billing Details" section of this document.

Subject

These terms govern the sale and electronic delivery of the software licence ordered by the BUYER through the SELLER's website, and the rights and obligations of both parties.

Order

The order number, order date, plan, device limit, launch price, any coupon discount, the total charged and the charge currency appear in the "Order Details" section of this document.

Product and system requirements

The product is an add-in for Microsoft Excel on Windows desktop. Supported Windows and Excel versions and the required runtime components are published on the current System Requirements page.

XLMind Studio supports only 64-bit desktop Microsoft Excel on Windows. 32-bit Office, Excel for macOS, Excel for the web and mobile Excel are not supported.

Installations outside the verified support matrix are not supported either.

Workbook contents and cell data are not sent to the licence server; data operations run locally on your device.

Price and payment

The total charged shown in the order details is the final amount. Taxes are included where applicable; no further tax is added to that amount.

The charge currency follows the language of the site the order was placed on: orders placed on the Turkish pages are charged in Turkish lira, orders placed on the English pages are charged in US dollars. The billing address country does not change the charge currency.

Where the charge currency differs from the base currency, the exchange rate used, its source and its timestamp are shown in this document.

Payment is processed by the payment provider iyzico. Full card details are not stored by the SELLER.

Digital delivery

The licence key is delivered electronically to the email address given during purchase immediately after payment is approved. There is no physical delivery.

Manual invoicing

Your payment confirmation, licence email and legal attachments are not invoices.

Invoices are not generated automatically. Your invoice is prepared manually and sent separately to your purchase email within 7 calendar days of licence delivery.

Licence and device limits

Depending on the plan purchased, the licence may be used on 1 or 5 active devices at the same time. Activation is per device.

When the limit is reached, activating a new device automatically deactivates the oldest one. Sharing, duplicating or reselling the licence key is not permitted.

The right to use the purchased version is perpetual and does not expire while used in line with the licence terms.

Updates and support

Eligible updates and standard technical support are included for 1 year from the purchase date.

After that period you may continue using the latest version you were entitled to; later updates may require renewal.

Offline verification

An internet connection is required for initial activation and for periodic licence verification.

If no connection is available, the software continues to work offline for up to 30 days. After that the device must connect to the internet so the licence can be verified again.

Withdrawal and the digital delivery exception

At the payment step the BUYER separately requests immediate delivery of the digital licence after payment is approved, and acknowledges the information given about that request.

For services performed instantly by electronic means and for intangible digital products delivered to the consumer instantly, the statutory exception to the right of withdrawal may apply once performance or delivery begins.

That exception does not remove rights arising from defective performance, a licence that was never delivered, a duplicate charge, or delivery of a different plan or device limit than the one purchased, nor any mandatory consumer protection arising from law.

Refunds and corrections

Duplicate charges, a licence that was never delivered, delivery of a different plan or device limit than purchased, and verified defective performance are reviewed; where the request is upheld, a correction or a refund is made.

Requests can be sent to support@xlmindstudio.com with your order number, purchase email and the reason for the request. An approved refund is returned to the original payment method in the currency charged, unless the law requires otherwise.

Personal data

Personal data is processed and protected as described in the Personal Data Protection Notice and the Privacy Policy. Data required for ordering, payment, licensing and support is retained for the periods required by law.

The SELLER's main production infrastructure and database are hosted in Türkiye.

Force majeure

Where events outside a party's reasonable control prevent performance, obligations are suspended until the obstacle is removed. If it persists for an unreasonable period, either party may terminate.

Governing law and disputes

This agreement is governed by the laws of the Republic of Türkiye. This choice does not limit or waive mandatory consumer protections that may apply under applicable law.

A BUYER who is a consumer may bring a dispute before the consumer arbitration committee or the consumer court of the place where they reside or where the transaction took place, within the monetary thresholds set by law. Those thresholds are revised each year and the current amounts are published by the Ministry of Trade of the Republic of Türkiye.

For a BUYER who is not a consumer, that is a merchant or a legal entity, the Istanbul Anatolian Courts and Enforcement Offices have jurisdiction.

Effective date and durable medium

This agreement takes effect when the BUYER ticks the confirmation boxes at the payment step and confirms the order.

This agreement and the Pre-Contract Information are sent to the BUYER's email address as a durable record, with the exact content shown at the time of the order. Later changes to these texts do not affect orders already placed.
